memorandum and articles of association
The Memorandum of Association and the Articles of Association are documents that are required for the formation of a company in the UK.
The Memorandum of Association is the document that sets up the company and will detail the name of all initial subscribers or shareholders at the time of formation of the company. The Articles of Association set out the general rules of operation of the company. The Articles of Association usually include the responsibilities and powers of the directors.
If you are conducting business abroad, it is common to be asked for a notarised copy of the memorandum and articles of association to provide legal certification of the details of your company, usually together with number of other company documents such as a Certificate of Good Standing or a Company Report.
The Notary will review the memorandum and articles of association of a company in all circumstances where notarisation on behalf of a company is required (whether or not a notarised copy of these are actually required). The notary can then confirm whether any further necessary steps or documentation are required in order for the notary to complete the instructions.
Additionally, if the memorandum and articles are intended for use in a non-English speaking country, a translation of the documents may be requested. I can assist with obtaining translations of documents where needed.
After the memorandum and articles are notarised, they may also need an Apostille, depending on whether its destination country is signed up to the Hague Apostille Convention. The Apostille will allow the foreign country to accept the notarised memorandum and articles as authentic documents. Failure to obtain it when needed may mean your memorandum and articles will be rejected for use. I am able to arrange the Apostille for memorandum and articles of association when necessary after notarisation.
Some countries also require further legalisation at their Embassy in the UK.
