Registers of members and directors

A Register of Members and Directors is a record of the individuals who own your company, and details of the shares they hold in the company. As the company owner or director, you are responsible for keeping this register up to date, and containing all relevant information.

If you are conducting business abroad, it is common to be asked for a notarised register of members (shareholders) and directors to provide legal certification of the details of your company. It is also common to be asked for certain details regarding the company’s ‘beneficial owners’. Often this information will be required in addition to a number of other company documents such as notarised Articles of Association, Certificate of Good Standing and Certificate of Incorporation.

Additionally, if the register is intended for use in a non-English speaking country, a translation of the document may need to accompany it for use. I can assist with obtaining translations of documents where needed.

After the register of shareholders and/ or director is notarised, it may also need an Apostille, depending on whether its destination country is signed up to the Hague Apostille Convention. The Apostille will allow the foreign country to accept the register as a validly signed document. Failure to obtain it when needed may mean your register will be rejected for use. I am able to arrange the Apostille for a register when necessary after notarisation.

Some countries also require further legalisation at their Embassy in the UK.
